Please read these terms carefully before accessing or using the BosonWare Workspace, website, or custom software services.
Welcome to BosonWare Enterprises ("BosonWare," "we," "us," or "our"). By accessing or using our website, the BosonWare Workspace, or any of our custom software development services (collectively, the "Services"), you agree to be bound by these Terms of Service. If you do not agree, please do not access or use our Services.
1Scope of Services & Global Availability
BosonWare Enterprises provides software engineering solutions, including custom software development and cloud-based productivity tools via the BosonWare Workspace. While BosonWare operates globally and serves clients worldwide, all Services are provided subject to these Terms.
2Acceptable Use Policy (AUP)
You agree to use our Services only for lawful purposes and in accordance with these Terms.
- Prohibited Activities: You must not use the BosonWare Workspace or any custom software developed by BosonWare to facilitate, engage in, or promote any illegal activities under applicable local, national, or international laws.
- System Integrity: You may not attempt to breach, compromise, or reverse-engineer any portion of the BosonWare infrastructure or client instances.
3Email Service & Outbound Traffic Monitoring
To maintain infrastructure reputation, ensure security, and prevent illegal misuse (e.g., spamming, phishing, or distribution of malware):
- Consequences of Misuse: Any use of our email infrastructure or communication channels for illegal activities or severe policy violations will result in immediate and permanent account termination, without prior notice or refund, and may be reported to relevant law enforcement authorities.
4Intellectual Property Rights
- BosonWare IP: The BosonWare Workspace, website content, logos, trademarks, and underlying proprietary software remain the exclusive property of BosonWare Enterprises.
- Custom Deliverables: Ownership of custom software developed for clients shall be governed by specific, individual Master Services Agreements (MSAs) or Statements of Work (SOWs) executed between BosonWare and the respective client.
5Limitation of Liability
To the maximum extent permitted by applicable law:
- BosonWare Enterprises shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
- Our total cumulative liability arising from or related to the Services shall not exceed the total fees paid by you to BosonWare in the three (3) months preceding the event giving rise to the claim.
6Governing Law & Dispute Resolution
These Terms and any disputes arising out of or related to our Services shall be governed by and construed in accordance with the laws of the Republic of Kenya, without regard to its conflict-of-law principles.
- While BosonWare serves an international clientele, you irrevocably agree that the courts of Kenya shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.
